Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Virixia platform, website, and related services (collectively, the "Service") operated by Virixia Technologies Inc. ("Virixia," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Virixia, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, do not use the Service.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. Virixia is not liable for losses arising from unauthorized use of your account.

All Virixia plans include unlimited users. You may invite any number of team members to your workspace at no additional cost.

3. Your Data, Your Choice

Virixia believes your data belongs to you. We operate on a data ownership and portability model:

  • You retain full ownership of all data you upload or create within Virixia.
  • You may export your data at any time in standard formats (CSV, JSON, PDF) at no charge.
  • Upon cancellation, you have 30 days to export your data before it is permanently deleted.
  • We will never sell, license, or monetize your project data.

4. Billing & Cancellation

Virixia offers month-to-month and annual billing. All plans are billed in advance. You may cancel your subscription at any time from the admin dashboard — cancellation takes effect at the end of your current billing period. There are zero exit fees.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools to scrape, crawl, or extract data from the Service without permission.
  • Upload malicious code, viruses, or any content designed to harm the Service or other users.

6. Intellectual Property

The Virixia platform, including its design, code, branding, documentation, and all related intellectual property, is owned by Virixia Technologies Inc. and protected by applicable copyright, trademark, and other laws. These Terms do not grant you any right to use Virixia's trademarks or branding without prior written consent.

You retain all rights to the content and data you create or upload through the Service.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Virixia is not liable for downtime caused by factors beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, Virixia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid to Virixia in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Virixia, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
